1. Who we are

CalmShift is operated by Xcellent Innovators, LLC ("we", "us", "our"). By creating an account or continuing to use CalmShift, you agree to these Terms and contract with Xcellent Innovators, LLC. CalmShift provides short, guided self-regulation exercises, daily check-ins, and wellness tracking tools for frontline healthcare professionals.

2. Acceptance and eligibility

By using CalmShift you confirm you are at least 18 years old (or the age of legal majority in your jurisdiction) and able to enter into these Terms. If you use CalmShift on behalf of an organization, you confirm you have authority to bind that organization.

3. Not medical care

CalmShift is a self-care tool, not a medical device, and does not provide medical advice, diagnosis, or treatment. Always consult a qualified clinician for medical or mental-health concerns. If you are in crisis, call or text 911 or your local emergency number.

4. Your account

You are responsible for keeping your login credentials confidential and for all activity under your account, and for providing accurate information and keeping it up to date.

5. Acceptable use

You must not misuse CalmShift. This includes, without limitation:

• using the service for any unlawful purpose, or to commit fraud or send spam;
• infringing intellectual property rights of any party;
• interfering with the security of the service, including introducing malware, probing or scanning vulnerabilities, or scraping content;
• reverse engineering the service, reselling or redistributing it, or attempting to circumvent technical limits.

6. Licence and intellectual property

We grant you a limited, non-exclusive, non-transferable right to use CalmShift for your personal self-care, within the plan you select. We retain all ownership of the service and its intellectual property, including software, content, documentation, and branding. Any content you enter (such as check-in notes) remains yours; you grant us a limited licence to store and process it solely to provide the service.

7. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, subscription renewal, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Paid plans begin with a 14-day free trial and renew automatically until cancelled.

8. Service level

We work hard to keep CalmShift available, but we do not guarantee uninterrupted or error-free performance. Features may change over time.

9. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using CalmShift and cancel your subscription at any time via the billing page or Paddle. When access ends, your data is retained only as described in our Privacy Notice and is then deleted or anonymised.

10. Warranties and liability

CalmShift is provided "as is". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Our total aggregate liability is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury where the law does not allow it.

11. Indemnity

You agree to indemnify Xcellent Innovators, LLC against claims arising from your content, your unlawful use of the service, or your violation of these Terms.

12. General

These Terms are governed by the laws of the state of formation of Xcellent Innovators, LLC, and the courts of that jurisdiction will resolve disputes, unless mandatory law provides otherwise. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
